Marketplace contract between independent service providers ("Experts") and Asimovx Technologies AB (trading as Deeyam).
1.1. Parties: This Agreement is entered into between Asimovx Technologies AB (org. no. 559000-0000, Stockholm, Sweden) ("Deeyam") and the registered professional ("Expert").
1.2. Independent Status: You operate strictly as an independent contractor setting your own schedule and fees. Nothing creates an employment or agency relationship.
2.1. Experts must be at least 18 years old and complete identity verification via Stripe Connect.
2.2. Gating Rule: Services and profiles will not go live on Deeyam until this Agreement is executed and DAC7 tax data is submitted.
3.1. All qualifications, experience, and titles must be accurate. Misrepresentation or impersonation will lead to immediate profile suspension.
4.1. Permitted services include coaching, mentorship, and non-regulated consulting.
4.2. Adult/erotic content, clinical therapy, formal legal counsel, and regulated financial advice are strictly prohibited.
5.1. Experts set their own prices and deliver sessions live for the agreed duration (60 min). No unauthorized recording is allowed.
6.1. Cancellation Notice: Experts must provide at least 24 hours notice prior to a scheduled session to cancel without penalty. Cancellations made within the 24-hour window without a verified emergency will be recorded against your platform reliability score.
6.2. No-Show Definition: Failing to join the designated video consultation room within 10 minutes of the scheduled start time constitutes an "Expert No-Show".
6.3. No-Show Penalties: In the event of an Expert No-Show, the Client receives an automatic 100% refund. The Expert forfeits all payouts for that session (0% payout). Repeated No-Shows (more than 1 within a 3-month rolling period) will trigger an automatic algorithmic penalty, lowering your visibility in search results, and may lead to permanent platform deactivation.
6.4. Late Arrivals: If you join the session late but within the 10-minute grace period, you are obligated to either extend the session to fulfill the full duration (if the Client agrees) or offer a partial refund proportional to the missed time.
7.1. Platform Commission: Deeyam retains a standard facilitator Platform Fee of 10% on all completed consultation bookings. This fee covers payment processing overhead, Stripe Connect fees, platform hosting, and customer support. You keep 100% of the remaining amount minus any applicable statutory taxes you are liable for.
7.2. Clear Payout Timeline: After a session is successfully completed, the funds enter a mandatory escrow hold to allow for the 48-hour client dispute window. Payouts are automatically released to your linked Stripe Connect bank account exactly 3 business days after the session concludes, provided no disputes are raised.
7.3. Bank Settlement: Once Deeyam releases the payout via Stripe, it typically takes an additional 1-3 business days for the funds to settle in your local bank account, depending on your jurisdiction and banking institution.
7.4. Disputed Funds: If a client raises a legitimate dispute within the 48-hour window (e.g., technical failure, expert no-show), the payout will be temporarily frozen until the dispute is resolved by our moderation team.
8.1. Refunds caused by Expert fault are deducted from future earnings.
9.1. Experts must provide valid Tax ID (*personnummer* / *organisationsnummer* / TIN) and consent to reporting to the Swedish Tax Agency (*Skatteverket*). Failure to provide tax data within 60 days will lead to payout suspension.
10.1. Experts agree not to divert bookings off-platform for 12 months post-introduction. Liquidated damages fee: €500.
11.1. Independent Data Controller Status: For the purposes of the General Data Protection Regulation (GDPR), when you receive Client personal data (such as names, emails, and consultation notes) to perform the session, you act as an independent Data Controller regarding that specific data.
11.2. Strict Confidentiality: You agree to hold all Client information, business concepts, technical architectures, and personal problems discussed during consultations in the strictest confidence. You must not disclose, record, broadcast, or utilize any Client information outside the context of the booked session without explicit, written consent from the Client.
11.3. Data Processing Limitations: You may only process Client personal data for the sole purpose of scheduling, preparing for, and delivering the consultation service. You are strictly prohibited from adding Client emails to marketing newsletters, selling their data, or contacting them outside the Deeyam platform for non-session-related purposes.
11.4. Data Deletion: You agree to securely delete any local notes, code snippets, or files provided by the Client within 30 days after the consultation concludes, unless otherwise agreed with the Client in writing.
Experts own their content and grant Deeyam a licence to display and promote their profile.
No review manipulation or paid reviews. Search placement follows objective P2B criteria.
Experts are solely responsible for maintaining appropriate professional liability insurance.
Suspensions follow EU P2B Regulation due-process standards with clear statements of reason and mediation access.
Balanced commercial indemnity covering third-party claims arising from expert breach or services.
Governed exclusively by the laws of , with exclusive jurisdiction in the District Court of Stockholm ().
